These Terms of Service (“Terms”) form a legally binding agreement between you and HASHPASS TECHNOLOGIES OÜ (“HASHPASS”, “we”, “us”, “our”) governing your use of HASHPASS websites, applications, event pages, smart passes, credentials, Event Passport, QR/OTP access, organizer tools, APIs, integrations, rewards, blockchain functionality, and related services (“Services”). By using the Services, you agree to these Terms. Mandatory rights under applicable law remain unaffected.
25 September 2026 revision. This version includes the $LKS additional terms in Section 19. The LKS LatAm Currency Index notice is explanatory product documentation; it does not amend these Terms or any binding issuer, custody, redemption, exchange, or protocol terms.
1. SERVICES
HASHPASS provides event identity, credential, access, attendance, information, benefits, integration, and related infrastructure. Services may include registration, event pages, smart passes, role-based credentials, check-in, agendas, Event Passport, ticket/document imports, organizer dashboards, APIs, rewards, integrations, and blockchain-backed records. Features may change over time.
2. ELIGIBILITY
You may use the Services only if legally capable of accepting these Terms. Minors may use them only where lawful and with any required parental or guardian authorization. If you act for an organization, you represent that you have authority to bind it.
3. ACCOUNTS AND SECURITY
You must provide reasonably accurate information and protect your devices, email, OTPs, wallets, passwords, and other credentials. Notify HASHPASS promptly of suspected unauthorized access. We may require additional verification for security, fraud prevention, event operations, or legal compliance.
4. EVENT ORGANIZERS
HASHPASS often provides technology for independently operated events. Unless expressly stated otherwise, HASHPASS is not the organizer, venue, ticket issuer, merchant, travel provider, or speaker. Organizer rules may separately govern admission, transfers, identification, refunds, cancellations, conduct, schedules, accreditation, and safety. A HASHPASS credential does not guarantee admission where organizer or legal requirements are unmet.
5. PASSES AND CREDENTIALS
Passes, badges, QR codes, invitations, and blockchain-backed credentials may be personal, role-specific, time-limited, revocable, and non-transferable. You may not forge, duplicate, manipulate, unlawfully transfer, resell, falsify, or misuse them. HASHPASS or the organizer may revoke or replace credentials for fraud, compromise, cancellation, refund, unauthorized transfer, or rule violations. A blockchain record does not by itself constitute a security, financial instrument, ownership interest, intellectual-property right, or unrestricted admission right.
6. QR, OTP AND CHECK-IN
QR codes, OTPs, wallet signatures, and similar mechanisms may validate identity, eligibility, or access. Validation may depend on connectivity, devices, organizer systems, third-party infrastructure, or blockchain networks. Continuous availability of every validation method is not guaranteed.
7. EVENT PASSPORT
HASHPASS may provide an Event Passport consolidating events, tickets, passes, attendance, invoices, confirmations, benefits, rewards, communities, travel information, and other event records. It does not replace an original issuer’s authoritative records for tickets, reservations, invoices, payments, or entitlements.
8. USER CONTENT AND IMPORTS
You may submit or import emails, PDFs, tickets, QR codes, invoices, confirmations, images, URLs, wallet records, and other content (“User Content”). You retain your rights in User Content and grant HASHPASS a worldwide, non-exclusive, limited license to host, copy, process, extract, transform, classify, display, and transmit it as reasonably necessary to provide, secure, maintain, and improve the Services and as permitted by our Privacy Policy and law. You represent that you have sufficient rights to submit it. Automated extraction may contain errors.
9. BUSINESS SERVICES
Organizer and enterprise Services may be governed by order forms, statements of work, partnership or subscription agreements, SLAs, DPAs, or technical annexes. A signed agreement controls over these Terms to the extent of a conflict concerning the contracted business service.
10. FEES, PAYMENTS AND REFUNDS
Some Services require payment. Pricing will be disclosed before purchase or in a commercial agreement. Third-party processors, banks, networks, or foreign-exchange providers may charge separate fees. Unless HASHPASS is expressly identified as merchant of record, the relevant organizer or merchant remains responsible for its transaction and refund policy. Mandatory consumer rights remain unaffected.
11. REWARDS AND BENEFITS
Points, badges, rewards, discounts, perks, and community benefits are promotional or utility features unless specific terms state otherwise. They are not deposits or securities, have no guaranteed cash value, and may be subject to eligibility, transfer, expiration, and anti-fraud rules.
12. ACCEPTABLE USE
You may not use the Services to violate law; commit fraud; impersonate others; falsify identity, credentials, attendance, payments, or entitlements; infringe rights; distribute malware; obtain unauthorized access; bypass controls; intentionally disrupt systems; conduct abusive scraping; exploit vulnerabilities without authorization; manipulate rewards; misuse APIs; or assist others in doing so.
13. APIs AND DEVELOPER TOOLS
APIs, SDKs, webhooks, MCP interfaces, and developer tools may be subject to credentials, scopes, rate limits, documentation, security requirements, and commercial terms. You may not expose private credentials, circumvent limits, access unauthorized data, retain data beyond permitted periods, or misrepresent an integration as endorsed.
14. INTELLECTUAL PROPERTY
HASHPASS TECHNOLOGIES OÜ and its licensors retain rights in the Services, software, APIs, documentation, interfaces, designs, databases, trademarks, logos, trade names, domains, know-how, and technology, excluding User Content and third-party materials. You receive a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use the Services for their intended purpose. Open-source components remain subject to their licenses.
15. PRIVACY AND DATA
HASHPASS processes personal data according to its Privacy Policy and applicable law, including the GDPR where applicable. Depending on the data flow, HASHPASS may act as controller, an organizer may act as separate controller, or HASHPASS may act as processor under a DPA. HASHPASS may create lawful aggregated or appropriately anonymized analytics. Information will not be represented as anonymous where it can reasonably be linked to an identifiable person.
16. SECURITY
HASHPASS uses organizational and technical safeguards intended to protect Services and personal data, but no online system can guarantee absolute security. Users must use reasonable security practices. Security incidents and personal-data breaches will be notified where required by law or contract.
17. THIRD-PARTY SERVICES
The Services may integrate ticketing, payment, banking, email, identity, cloud, wallet, blockchain, analytics, travel, social, and organizer systems. Third-party services are governed by their own terms and privacy policies. HASHPASS cannot guarantee their continued availability.
18. BLOCKCHAINS AND WALLETS
Blockchain transactions may be public, permanent, pseudonymous, and irreversible. Networks may experience congestion, forks, outages, validator failures, upgrades, vulnerabilities, changing fees, bridge failures, or other events outside HASHPASS’s control. Unless HASHPASS expressly provides custody under separate terms, Users remain responsible for self-custodial private keys, seed phrases, backups, transaction verification, and device security. HASHPASS will never require a private key or seed phrase.
19. $LKS — ADDITIONAL TERMS OF USE
This Section applies whenever HASHPASS displays, integrates, distributes, facilitates, references, rewards, settles with, or otherwise enables interaction with $LKS. It supplements these Terms and does not replace binding issuance, protocol, redemption, custody, exchange, or financial-service terms of the entity legally responsible for the relevant $LKS function.
19.1 Ecosystem and roles. $LKS is contemplated as part of a LATAM-focused digital-asset ecosystem associated with Lukas and Blockchain Foundation Latam. Separate entities or protocols may be responsible for development, issuance, index methodology, governance, wallets, custody, liquidity, exchanges, bridges, oracles, compliance, redemption, or interfaces. Applicable $LKS documentation determines the responsible entity.
19.2 HASHPASS role. Unless separate binding documentation expressly states otherwise, HASHPASS acts only as a technology or interface provider regarding $LKS. Integration does not make HASHPASS the issuer, guarantor, bank, custodian, exchange, broker, investment adviser, investment fund, or market maker.
19.3 No investment advice. $LKS information provided through HASHPASS is for product, utility, technical, and informational purposes and is not investment, financial, legal, or tax advice, an offer of securities, a recommendation to transact, or a guarantee of performance.
19.4 No guaranteed value. Terms such as “index”, “indexed”, “basket”, “peso”, or “stable” do not guarantee a fixed price, preservation of purchasing power, convertibility, redemption at par, liquidity, yield, profitability, or a particular fiat relationship. Any enforceable redemption right must arise from binding terms of the responsible issuer or provider.
19.5 LATAM Peso Index. If $LKS references a LATAM peso index, currency basket, synthetic benchmark, or other reference value, project documentation should disclose included currencies/assets, weights, price/oracle sources, calculation frequency, rebalancing, unavailable-market treatment, methodology changes, governance, publication mechanisms, and the responsible methodology provider. A reference index does not guarantee that $LKS market price equals the reference value.
19.6 Risks. $LKS may involve volatility, smart-contract defects, oracle failures, bridge/interoperability failures, congestion, key loss, liquidity limitations, regulatory change, counterparty failure, governance changes, divergence from a reference value, and irreversible transactions.
19.7 Compliance. $LKS functionality may be restricted by sanctions, AML/CFT, securities, payments, e-money, crypto-asset, stablecoin, virtual-asset, tax, or other laws. Identity, eligibility, or source-of-funds checks may be required. HASHPASS may restrict functionality where reasonably necessary for compliance.
19.8 Markets and liquidity. Independent protocols, exchanges, aggregators, market makers, and liquidity pools are governed by their own terms. HASHPASS does not guarantee execution, spreads, market depth, liquidity, pricing, settlement, or continued availability.
19.9 Smart contracts and bridges. Smart contracts, decentralized protocols, bridges, and cross-chain systems may contain vulnerabilities or behave unexpectedly. Audits do not guarantee absence of defects. Multi-chain operation may add technical, custody, liquidity, and security risks.
19.10 FHE and experimental cryptography. $LKS systems may experiment with fully homomorphic encryption (FHE), encrypted execution, zero-knowledge systems, or other emerging cryptography. Unless expressly designated production-ready, experimental functionality may change, fail, be paused, or be discontinued and does not itself guarantee confidentiality, security, or regulatory compliance.
19.11 Testnets. Testnet tokens, deployments, faucets, simulated balances, and experimental assets have no guaranteed monetary value and may be reset or discontinued.
19.12 Issuance, redemption and reserves. If $LKS becomes redeemable, reserve-backed, or issued against assets, the responsible issuer’s binding documentation must govern issuance, reserve composition, custody, attestations, redemption rights, fees, suspension conditions, and insolvency treatment. HASHPASS makes no independent representation about reserves or redemption unless expressly assumed in binding documentation.
19.13 Taxes and regulation. Users are responsible for their own tax obligations. Laws governing crypto-assets and financial services may change, requiring additional verification, geographic restrictions, licensing, modification, suspension, or discontinuation.
19.14 Priority. Binding token-specific terms published by the authorized issuer or responsible provider govern the corresponding $LKS function. These HASHPASS Terms continue to govern HASHPASS-provided interfaces and Services.
20. AVAILABILITY, BETA FEATURES AND CHANGES
HASHPASS seeks reliable operation but does not guarantee uninterrupted or error-free Services. Maintenance, incidents, third-party providers, connectivity, events, blockchain networks, force majeure, and other circumstances may affect availability. Beta, preview, experimental, testnet, or pilot features may materially change or be discontinued. HASHPASS may update Services and these Terms. Material changes will be notified where required by law.
21. SUSPENSION AND TERMINATION
HASHPASS may suspend or terminate access where reasonably necessary because of material breach, fraud, security threats, credential abuse, unauthorized access, legal requirements, non-payment of business Services, or material harm to HASHPASS or others. Where appropriate and legally required, notice and an opportunity to remedy will be provided. Users may stop using the Services at any time. Data deletion remains subject to the Privacy Policy, legal retention obligations, and immutable blockchain limitations.
22. DISCLAIMERS AND LIABILITY
To the maximum extent permitted by law, Services are provided “as is” and “as available”. HASHPASS does not warrant uninterrupted, error-free operation or compatibility with every device or third-party system.
To the maximum extent permitted by law, HASHPASS is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, opportunity, or data. Mandatory consumer-law liability remains unaffected. For business Services, a liability cap in a signed agreement controls. Nothing excludes liability that applicable law prohibits from being excluded.
23. FORCE MAJEURE
HASHPASS is not responsible for failures caused by circumstances outside its reasonable control, including natural disasters, war, government action, telecommunications or power failures, widespread cloud outages, blockchain failures, venue incidents, or third-party service failures, except where applicable law provides otherwise.
24. BUSINESS USER INDEMNITY
To the extent permitted by law, business Users agree to indemnify HASHPASS against third-party claims arising from unlawful use, content supplied without sufficient rights, misuse of APIs or credentials, or breach of an applicable commercial agreement. Non-waivable consumer rights are unaffected.
25. ELECTRONIC COMMUNICATIONS
You consent to transactional electronic communications necessary to operate the Services, including authentication, security, credential, transaction, service, and legally required notices. Marketing communications remain subject to applicable consent and opt-out rules.
26. GOVERNING LAW AND DISPUTES
Subject to mandatory consumer and conflict-of-law protections, these Terms are governed by the laws of the Republic of Estonia. Consumers retain mandatory rights and forums available under applicable law. Business disputes may be governed by a separate signed agreement. Before litigation, the parties are encouraged to attempt good-faith resolution where appropriate.
27. SEVERABILITY AND WAIVER
If a provision is invalid or unenforceable, the remaining provisions remain effective to the extent permitted by law. Failure to enforce a provision is not a waiver.
28. ASSIGNMENT
Users may not assign these Terms where prohibited without HASHPASS consent. HASHPASS may assign these Terms in connection with a lawful restructuring, merger, acquisition, financing, or transfer of the relevant business, subject to applicable law.
29. ENTIRE AGREEMENT AND ORDER OF PRECEDENCE
These Terms, the Privacy Policy, transaction-specific terms, and any applicable signed commercial agreement constitute the agreement governing the relevant Services. For business Services, a signed agreement controls over these Terms to the extent of a direct conflict. For $LKS functionality, binding terms of the legally responsible issuer/provider control that specific regulated or token function while these Terms continue to govern HASHPASS Services.
